These Terms of Service (“Terms”) govern your use of the KinderFile compliance management platform (“Service”), operated by B&B Music World LLC (“KinderFile,” “we,” “us,” or “our”). This service is operated by B&B Music World LLC, 9909 Locust Street, Glenn Dale, MD 20769. By accessing or using the Service, you agree to these Terms.

1. Description of Service

KinderFile is a web-based platform that allows licensed childcare center operators to track staff credential expiration dates and send automated SMS reminders to staff members when credentials are approaching expiration.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of a licensed childcare organization to use the Service. By using KinderFile, you represent that you meet these requirements.

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Ensuring that staff phone numbers entered into the platform are accurate and belong to individuals who have been informed they will receive SMS reminders
• Obtaining any necessary consent from staff members to receive SMS communications as required by applicable law

4. SMS Messaging Program

KinderFile sends automated SMS messages to staff members enrolled by center directors. By enrolling staff phone numbers in the platform, you represent that you have informed those individuals they will receive text message reminders from KinderFile.

Message frequency: Varies based on credential expiration dates. Typically 1–3 messages per credential per expiration cycle.

To stop receiving messages, reply STOP to any KinderFile text message.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Enter phone numbers of individuals who have not been informed they will receive SMS messages
• Attempt to reverse engineer, hack, or disrupt the Service
• Use the Service to send unsolicited commercial messages

6. Service Availability

We will make reasonable efforts to maintain Service availability. We do not guarantee uninterrupted access and are not liable for downtime, data loss, or delays in SMS delivery caused by third-party carriers or infrastructure providers.

7. Free Pilot Program

During the pilot period, the Service is provided at no cost. We reserve the right to introduce paid plans following the pilot period. We will provide at least 14 days notice before any billing begins.

8. Intellectual Property

All software, content, and materials associated with KinderFile are owned by B&B Music World LLC. You are granted a limited, non-exclusive license to use the Service for its intended purpose. You may not copy, modify, or redistribute any part of the Service.

9. Limitation of Liability

To the maximum extent permitted by law, KinderFile shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to missed credential expirations, regulatory penalties, or failed SMS deliveries.

Your use of the Service does not replace your obligation to independently track and verify staff credential compliance. KinderFile is a tool to assist with compliance management, not a guarantee of compliance.

10. Indemnification

You agree to indemnify and hold harmless B&B Music World LLC and its employees from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

11. Termination

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. You may cancel your account at any time by contacting support@kinderfile.com.

12. Changes to Terms

We may update these Terms periodically. We will notify account holders of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles.
